THE REDPAH LICENSE

The REDPAH LICENSE protects sellers by allowing them to keep full commercial rights to their 3D print files.


RECITALS

A. A Redpah Seller or “Seller” is someone commercially offering a 3D print file at Redpah.

B. Seller owns the copyright, title, trademarks and all other related rights in and to the work commercially offered at Redpah.

C. A Redpah Buyer or “Buyer” is someone engaged in purchasing 3D print files, for individual use, from Sellers at Redpah.

D. The Redpah License or “Agreement” delineates the rights of parties.

NOW, THEREFORE, in consideration of the promises, conditions, covenants and warranties herein contained, the parties agree as follows:

1. Rights Granted.

Seller hereby grants to Buyer the right to:

a. download the 3D print file from Redpah after purchase

b. create 3D prints from Seller’s file for individual use only

c. create 3D prints from Seller’s file as gifts to others, but not for resale, promotion, or commercial marketing use

d. locally edit a purchased 3D print file for personal use, but not for redistribution of the 3D print file for any reason

2. Seller’s Rights and Obligations.

a. Seller warrants and represents that he/she owns all right, title and interest in and to the 3D print file.

b. Seller maintains the right to remove his/her file from Redpah at any time.

c. Seller may change the price of his/her file at Redpah at any time.

d. Seller reserves the right to list the 3D print file at as many other outlets as desired. If the Seller exercises this right, the Redpah License shall not apply to the additional outlets, or files/business transacted thereat.

e. Seller may decide to move a file from the Redpah License to the Creative Commons license at any time. This will not cause any refund or obligation by the Seller.

f. Seller reserves unto himself/herself all rights of every kind and nature except those specifically governed by the Redpah Terms of Service, which among other limitations, prevent certain kinds of files such as working firearms or pornographic material.

3. Buyer’s Rights and Obligations.

a. Buyer maintains the rights listed in Section 1 of The Redpah License.

b. Buyer agrees to all Redpah Terms of Service by purchasing and/or downloading 3D print files at Redpah.

c. Buyer is prohibited from printing and scanning into electronic format any purchased files from Redpah.

4. Warranty and Indemnification.

a. Per the Redpah Terms of Service, the Seller warrants and represents that he/she has the full right, power and authority to enter into this Agreement.

b. Buyer shall indemnify and hold harmless the Seller from and against any and all claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees), arising out of or in any way connected with the purchase of the Seller’s 3D print file.

5. Term and Termination.

a. The term of this Agreement shall be for as long as the Seller continues to list his/her file(s) at Redpah.

b. This Agreement shall be subject to termination at the election of the Seller, in the event that the Seller wishes to unlist his/her file, or offer the file for free under a Creative Commons license.

c. Violation of Redpah Terms of Service voids the protections of the Redpah License.

6. General Provisions.

a. Integration.

The Redpah License sets forth the entire agreement between the parties with respect to the subject matter hereof, and may not be modified or amended except by special consideration, including written agreement.

b. Governing Law: Forum.

This Agreement shall be governed by the laws of the United States of America, applicable to agreements made and to be wholly performed therein.

c. Notice.

Notification of parties will be made electronically via the contact information provided by parties.
